E.ON Begins the Carve-out Process of the A2A Assets

E.ON, one of the largest privately owned energy groups, starts today with the carve-out process of the assets to be transferred to A2A in exchange of its 20% participation in Endesa Italia. A2A has communicated its decision to select the Monfalcone plant and the Calabria hydro plant as well as the related investment projects. The total installed capacity of the assets selected by A2A is 1,460 MW. The transaction is expected to be concluded within the fourth quarter 2008.

Endesa Europa and its 80% participation in Endesa Italia were acquired by E.ON from Endesa in the transaction that closed on June 26th, 2008.

The assets of Endesa Italia, in which E.ON will now hold a 100% participation through its company E.ON Produzione - controlled by the Market Unit E.ON Italia - include:

- Tavazzano plant – CCGT/Fuel-Gas (1,840 MW)
- Ostiglia plant – CCGT/Fuel/Turbo-Gas (1,530 MW)
- Fiume Santo plant – Fuel/Coal/Turbo-Gas (1,040 MW)
- Trapani plant – Fuel-Gas (170 MW)
- Terni plant – Hydro (530 MW)
- other wind farms for a total capacity of 76 MW

The remaining generation capacity of Endesa Italia in which E.ON Produzione will own 100% amounts to around 5,200 MW.
